Travel Incorporated Terms of Use

I. Definitions

"Travel Incorporated" means Travel Incorporated, its predecessors, subsidiaries and affiliates and their respective directors, officers, shareholders, employees, agents, members, representatives, successors and assigns.

Travel Incorporated "web-based applications and web sites" will be referred to in this document as "platform".

"Services" are offerings from the Travel Incorporated platform.

II. Limitations on Use of Platform and Services

The Travel Incorporated platform and services are for business use and in accordance with the terms and conditions of this agreement. As a condition of this agreement, you will not use the platform or services for any illegal purpose. Specifically, you may not modify, copy, distribute, transmit, publish, display, license, create derivative works from or sell any product, services, information or software obtained from the platform or services.

III. Links to Non-Travel Incorporated Applications and Web sites

Our platform may contain links to applications or web sites operated by parties other than Travel Incorporated. Those links are provided to you for your reference and convenience only. Travel Incorporated does not own or control the content of those applications and web sites nor is responsible for their content or your use of them.

IV. Communication

Travel Incorporated Platform and Services You consent to receive communications from the Travel Incorporated platform or services. With any form of communication, you have the option to opt-out of future communications. We will communicate with you by posting notices on our platform, email and/or fax. You agree that all notices, disclosures, agreements, and other communications that we provide to you electronically, or by fax satisfy any legal requirements that communications be in writing.

Newsletters If a user wishes to subscribe to our newsletter, we ask for contact information such as name and email address.

Service Announcements On occasion it is necessary to send out a strictly service related announcement. For instance, if our platform or services are temporarily suspended for maintenance we might send users an email. Generally, users may not opt-out of these communications.

Customer Service We communicate with users and customers on a regular basis to provide requested services and in regards to issues relating to their account we reply via email, fax or telephone call, in accordance with the terms of this agreement.

Travel Incorporated respects individual privacy and values the confidence of its customers, employees, vendors, business partners and others. Travel Incorporated strives to collect, use and disclose Personal Identifiable Information/Sensitive Personal Identifiable Information (PII/SPII) in a manner consistent with the laws of the countries in which it does business and has a tradition of upholding the highest ethical standards in its business practices. Travel Incorporated abides by the Privacy Shield Principles developed by the U.S. Department of Commerce and the European Commission and the Frequently Asked Questions (FAQs) issued by the Department of Commerce on August 1, 2016 (collectively the "U.S.-EU Privacy Shield Framework"). Travel Incorporated has certified that it adheres to the Privacy Shield Privacy Principles of notice, choice, accountability for onward transfer, security, data integrity and purpose limitation, access, recourse, enforcement and liability. This Privacy Shield Policy (the "Policy") sets forth the privacy principles that Travel Incorporated follows with respect to transfers of PII/SPII anywhere in the world, including transfers from the European Economic Area (EEA) (which includes the twenty-seven member states of the European Union (EU) plus Iceland, Liechtenstein and Norway) to the United States.

The Federal Trade Commission (FTC) has jurisdiction over Travel Incorporated's compliance with the Privacy Shield.

I. Privacy Shield/Enforcement

The United States Department of Commerce and the European Commission have agreed on a set of data protection principles and frequently asked questions (the "U.S.-EU Privacy Shield Framework") to enable US companies to satisfy the requirement under European Union law that adequate protection be given to PII/SPII transferred from the EU to the United States. The European Economic Area ("EEA") also has recognized the US-EU Privacy Shield Framework as providing adequate data protection. Consistent with its commitment to protect Personal privacy, Travel Incorporated adheres to the Privacy Shield Principles and has certified its compliance. Travel Incorporated has a Chief Privacy Officer who is responsible for Travel Incorporated's compliance with and enforcement of this Policy and data security issues. Travel Incorporated educates its employees concerning compliance with this Policy and has self-assessment procedures in place to assure compliance. Travel Incorporated's Chief Privacy Officer is available to any of its valued customers, employees, vendors, business partners and others who may have questions concerning this Policy or data security practices. II. Scope

This Policy applies to all PII/SPII received by Travel Incorporated in any format including electronic, paper or verbal. As an integral part of its business, Travel Incorporated collects and processes PII/SPII from its customers and potential customers in a variety of ways, including manually, via telephonic means (including facsimiles), electronic mail or its platform and services.

Travel Incorporated will not sell or share this information with third parties in ways different than what are disclosed in this Privacy Policy. On a national basis, Travel Incorporated will, and will cause its business partners to, establish and maintain business procedures that are consistent with this Policy.

PII/SPII collected by Travel Incorporated from prospective customers and customers may be maintained at its Data Centers in Suwanee, Georgia and Irving, Texas. Travel Incorporated collects PII/SPII for, among other things, legitimate business reasons such as customer service, travel related reporting and records requirements, maintenance of accurate accounts payable and receivable records, and performance management, financial and sales data, and contact information. All PII/SPII collected by Travel Incorporated will be used for legitimate business purposes consistent with this Policy.

III. Definitions

For purposes of this Policy, the following definitions shall apply:

"Agent" means any third party that uses PII/SPII provided by Travel Incorporated to perform tasks on behalf of or at the instruction of Travel Incorporated.

"Personal Identifiable Information (PII)" means any information or set of information that identifies or could be used by or on behalf of Travel Incorporated to identify an individual. It does not include information that is encoded or anonymized, or publicly available information that has not been combined with non-public Personal information.

"Sensitive Personal Identifiable Information (SPII)" means Personal Identifiable Information, which if lost, compromised, or disclosed without authorization, could result in substantial harm, embarrassment, inconvenience, or unfairness to an individual.

IV. Privacy Principles

The privacy principles in this Policy are based on the seven Privacy Shield Principles.

NOTICE: Where Travel Incorporated collects PII/SPII directly from individuals, it will inform them about the purposes for which it collects and uses that information about them, the types of non-agent third parties to which Travel Incorporated discloses that information, and the choices and means, if any, Travel Incorporated offers individuals the ability to limit the use and disclosure of their PII/SPII. Notice will be provided in clear and conspicuous language when individuals are first asked to provide PII/SPII to Travel Incorporated, or as soon as practicable thereafter, and in any event before Travel Incorporated uses the information for a purpose other than that for which it was originally collected. Travel Incorporated may disclose PII/SPII if required to do so by law or to protect and defend the rights or property of Travel Incorporated.

CHOICE: Travel Incorporated will offer individuals the opportunity to choose (opt-out) whether their PII/SPII is (a) to be disclosed to a non-agent third party, or (b) to be used for a purpose other than the purpose for which it was originally collected or subsequently authorized by the individual.

For SPII information, Travel Incorporated will give individuals the opportunity to affirmatively and explicitly (opt-in) consent to the disclosure of the information to a non-agent third party or to the use of the information for a purpose other than the purpose for which it was originally collected or subsequently authorized by the individual.

Travel Incorporated will provide individuals with reasonable mechanisms to exercise their choices should requisite circumstances arise.

DATA INTEGRITY: Travel Incorporated will use PII/SPII only in ways that are compatible with the purposes for which it was collected or subsequently authorized by our customers. Travel Incorporated will take reasonable steps to ensure that PII/SPII is relevant to its intended use, accurate, complete, and current.

TRANSFERS TO AGENTS: Travel Incorporated will obtain assurances from its Agents that they will safeguard PII/SPII consistently with this Policy. Examples of appropriate assurances that may be provided by Agents include: a contract obligating the agent to provide at least the same level of protection as is required by the relevant Privacy Shield Principles, being subject to EU Directive 95/46/EC (the EU Data Protection Directive), Privacy Shield certification by the agent, or being subject to another European Commission adequacy finding (e.g., companies located in Hungary and Switzerland). Where Travel Incorporated has knowledge that an Agent is using or disclosing PII/SPII in a manner contrary to this Policy, Travel Incorporated will take reasonable steps to prevent or stop the use or disclosure. Travel Incorporated holds it Agents accountable for maintaining the trust its employees and customers place in the Company.

ACCESS AND CORRECTION: Upon request, Travel Incorporated will grant individuals reasonable access to PII/SPII that it holds about them. In addition, Travel Incorporated will take reasonable steps to permit individuals to correct, amend, or delete information that is demonstrated to be inaccurate or incomplete. Any customer who desires to review, correct or delete their information can do so by contacting Travel Incorporated, Account Management, 4355 River Green Parkway, Duluth, GA 30096.

SECURITY: Travel Incorporated will take reasonable precautions to protect PII/SPII in its possession from loss, misuse and unauthorized access, disclosure, alteration and destruction. Security is designed to prevent unauthorized access to database equipment and hard copies of PII/SPII and to monitor access to its servers to provide protection from hacking or other unauthorized access.

Travel Incorporated limits access to PII/SPII and data to those persons in Travel Incorporated's organization, or Agents of Travel Incorporated, that have a specific business purpose for maintaining and processing such information and data. Individuals who have been granted access to PII/SPII are aware of their responsibilities to protect the security, confidentiality and integrity of that information.

ENFORCEMENT: Travel Incorporated will conduct reviews of its relevant privacy practices to verify adherence to this policy and the US Department of Commerce Privacy Shield Principles. Any employee who Travel Incorporated determines is in violation of this policy will be subject to disciplinary action up to and including termination of employment.

V. Dispute Resolution

Any questions or concerns regarding the use or disclosure of PII/SPII should be directed to the Travel Incorporated Chief Privacy Officer at Travel Incorporated, 4355 River Green Parkway, Duluth, GA 30096. Travel Incorporated will investigate and attempt to resolve complaints and disputes regarding use and disclosure of PII/SPII in accordance with the principles contained in this Policy and shall be governed by, and construed in accordance with laws of the State of Georgia, USA. For global complaints that cannot be resolved between Travel Incorporated and the complainant, Travel Incorporated has agreed to participate in the dispute resolution procedures of the panel established by the European data protection authorities to resolve disputes pursuant to the Privacy Shield Principles.

VI. Internet Privacy

Travel Incorporated sees the Internet, Intranets and the use of other technologies as valuable tools for communicating and interacting with consumers. Travel Incorporated recognizes the importance of maintaining the privacy of PII/SPII collected through its platform and services and web sites that it operates. Visitors on the Web may elect to voluntarily provide PII/SPII via the Travel Incorporated platform and services, but are not required to do so. In general, Travel Incorporated collects PII/SPII for the purpose of maintaining an effective business relationship with its customers; i.e. to perform services contracted with customers in our role as a Travel Management Company. Travel Incorporated does not permit any confidential company or PII/SPII of our customers to be shared with or sold to third parties. Travel Incorporated will only share such information with third parties at the specific written request of the customer, and/or as directed in legal contracts between the customer and a third party.

Travel Incorporated respects the right to privacy of all individuals. However, in certain circumstances, we may disclose PII/SPII to government authorities or as dictated by legal obligation.

Travel Incorporated may also collect anonymous information concerning web site users through the use of "cookies". "Cookies" are small files that web sites place on users' computers to identify the user and enhance the web site experience. Visitors may set their browsers to provide notice before they receive a cookie, giving them opportunity to decide whether to accept the cookie. A visitor can also set their browser to turn off cookies. If visitors do so, however, some areas of Travel Incorporated platform and services may not function properly.

Travel Incorporated customers have the option to request that Travel Incorporated not use, correct or remove information previously provided to Travel Incorporated. Customers who would like to correct or suppress information they have provided to Travel Incorporated should forward such requests to Travel Incorporated, Account Management, 4355 River Green Parkway, Duluth, GA 30096.

Travel Incorporated's platforms and services may contain links to other "Non-Travel Incorporated" applications and web sites. Travel Incorporated assumes no responsibility for the content or the privacy policies and practices of those web sites. Travel Incorporated encourages all users to read the privacy statements of those sites; their privacy practices may differ from those of Travel Incorporated.

VIII. Changes to this Privacy Shield Policy

The practices described in this Policy are current Personal data protection policies as of October 4, 2016. Travel Incorporated reserves the right to modify or amend this Policy at any time consistent with the requirements of the U.S.-EU Privacy Shield Framework. Appropriate public notice will be given concerning such amendments.

IX. Privacy Shield Enforcement

Travel Incorporated is compliant under U.S.-EU Privacy Shield Framework as outlined by the U.S. Department of Commerce. Any disputes that arrive from the passing of PII/SPII will be investigated and resolved.
